Terms of Service

These Terms of Service ("Terms") form a legal agreement between you ("you," "User") and Xiam Technologies Limited ("Xiam," "we," "us," "our"), a company operating in Nigeria, governing your access to and use of the Xiam mobile application, website, and related services (collectively, the "Service").

By creating an account or using Xiam, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to create an account or use Xiam. By using Xiam, you represent that you meet this age requirement and that you have the legal capacity to enter into this agreement under the laws of your jurisdiction.

If we learn that an account belongs to someone under 16, we will disable the account and delete associated data in accordance with our Privacy Policy and Child Safety Standards Policy.

If you are using Xiam on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Xiam Service

Xiam is a debate-focused social platform where users can:

• Create and participate in structured, timed debates with another user ("Debates"), including text, photo, video, and voice-note arguments
• Vote on debate outcomes and view debate results
• Post short-form video and photo content to a public Discover feed
• Post ephemeral Stories
• Follow other users and experts, and view a personalized home feed
• Comment, like, repost, and share content, including via shareable links to debates, profiles, and videos
• Message other users directly
• Apply for and hold "Expert" status, subject to our review
• Report content or accounts that violate our policies

We may add, change, or remove features at any time. We are not obligated to maintain or continue any particular feature.

3. Your Account

You are responsible for:

• Providing accurate registration information
• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized use of your account

You may not create an account using false identity information, impersonate another person or entity, or maintain more than one account for the purpose of evading enforcement action (see our Verification and Impersonation Policy).

Account Deletion

You may delete your account at any time from within the app (Settings → Delete Account). Account deletion is permanent. See our Data Retention and Deletion Policy for details on what happens to your data after deletion and any retention required by law.

4. User Content

4.1 What You Own

You retain ownership of the photos, videos, text, audio, and other content you post to Xiam ("User Content"). We do not claim ownership over your User Content.

4.2 License You Grant Us

By posting User Content, you grant Xiam a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and perform that content solely for the purposes of operating, promoting, and improving the Service — for example, displaying your debate arguments to other users, generating link-preview pages for content you choose to share, and showing your content in feeds. This license ends when you delete the content or your account, except where content has been shared by others, cached, or where retention is required by law (see Section 17 / Data Retention Policy).

4.3 Your Responsibilities

You are solely responsible for your User Content. By posting, you represent that:

• You own the content or have the right to post it
• It does not infringe any third party's intellectual property, privacy, or other rights
• It complies with our Community Guidelines and all applicable laws

4.4 Content Moderation

We use a combination of automated systems (including AI-assisted image and text analysis) and human review to detect and act on content that violates our policies, including before publication for certain media types. We may remove content, restrict its distribution, label it, or take action against the associated account, as described in our Enforcement and Appeals Policy. We do not pre-screen all content and are not obligated to monitor the Service, but we reserve the right to review, remove, or restrict any content at our discretion.

5. Debates Feature — Specific Rules

Because Debates involve direct, timed interaction between two users:

• Debate outcomes (winner declarations, vote tallies) are determined by our systems based on user votes and are final once a debate is marked complete. Outcomes are not user-editable.
• Abuse of the debate or voting mechanism (for example, using multiple accounts to vote, or attempting to manipulate vote counts) is prohibited and may result in account suspension.
• Debate content is subject to the same content policies as any other User Content on Xiam.

6. Prohibited Conduct

You agree not to:

• Violate our Community Guidelines or any policy referenced in these Terms
• Use the Service for any illegal purpose
• Harass, threaten, or abuse other users
• Post or transmit content involving child sexual abuse material (CSAM), or any content that sexualizes minors in any way — this is strictly prohibited with zero tolerance
• Upload viruses, malware, or attempt to interfere with the Service's operation
• Scrape, reverse-engineer, or use automated means to access the Service without our written permission
• Circumvent any content moderation, rate-limiting, or security system
• Sell, rent, or transfer your account
• Use the Service to send spam or engage in platform manipulation (see our Spam and Platform Manipulation Policy)

7. Reporting and Enforcement

Every post, comment, profile, message, and Story can be reported. We review reports and may take enforcement action ranging from content removal to permanent account ban, as described in our Enforcement and Appeals Policy. You may appeal enforcement decisions through the process described in that policy.

Xiam may immediately remove content, restrict accounts, or preserve information without prior notice where reasonably necessary to protect users, investigate potential violations, comply with legal obligations, or address imminent threats involving child safety, violence, fraud, or platform security.

7A. Child Safety and Illegal Content

Xiam maintains a zero-tolerance policy toward child sexual abuse material, grooming, child exploitation, and any content that sexualizes minors. We may immediately disable accounts, remove content, preserve relevant information, and comply with applicable legal reporting obligations where such material is identified. 8. Experts and Verification

Users may apply for "Expert" or "Verified" status. We review applications and supporting documentation (such as identification) at our discretion. We may revoke Expert or Verified status at any time if we determine the status was obtained improperly or the user has violated our policies. See our Verification and Impersonation Policy.

9. Intellectual Property

The Xiam name, logo, app design, and underlying software are owned by Xiam Technologies Limited and protected by intellectual property laws. You may not use our trademarks or branding without written permission.

10. Third-Party Services

Xiam uses third-party infrastructure providers, including Google Firebase (authentication, database, storage, hosting, cloud functions, analytics, and crash reporting), to operate the Service. Your use of Xiam is also subject to the terms of these providers where applicable. See our Privacy Policy for details on what data is shared with these providers.

11. Termination

We may suspend or terminate your account if you violate these Terms or our policies, or if we are required to do so by law. You may stop using the Service and delete your account at any time. Sections of these Terms that by their nature should survive termination (including Sections 9, 12, 13, and 14) will survive.

12. Dispute Resolution

We encourage you to contact us first at xiamformilo@gmail.com to resolve any dispute informally. If a dispute cannot be resolved informally within 30 days, both parties agree that any dispute arising from these Terms or your use of Xiam shall be subject to the exclusive jurisdiction of the courts of Kaduna State, Nigeria, to the extent permitted by applicable law.

13. Limitation of Liability

To the maximum extent permitted by law, Xiam Technologies Limited and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) NGN 500,000.

Nothing in these Terms limits liability that cannot be limited under applicable Nigerian law, including liability for fraud or willful misconduct.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

15. Indemnification

You agree to indemnify and hold harmless Xiam Technologies Limited from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your User Content, or your misuse of the Service.

16. Availability and Monitoring

Xiam is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that any content or data will always be available. We are not obligated to monitor all content, communications, or user activity on the Service, and we cannot guarantee that prohibited content will never appear.

17. Electronic Communications Consent

By creating an account, you consent to receive electronic communications from Xiam, including security alerts, policy updates, and account-related notices. These communications are part of your relationship with Xiam and you may not be able to opt out of safety- or account-critical messages while keeping your account active.

18. Export Controls and Sanctions

You may not use Xiam in violation of applicable sanctions, export control laws, or trade restrictions, including those of Nigeria and other jurisdictions where the Service operates or is accessed.

19. Reservation of Rights

We reserve all rights not expressly granted to you under these Terms.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you in-app or by email before the changes take effect. Continued use of Xiam after changes take effect constitutes acceptance of the updated Terms.

21. Data Retention and Deletion

See our separate Data Retention and Deletion Policy for details on how long we keep your information and what happens when you delete your account.

22. Force Majeure

Xiam shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, internet or telecommunications failures, government actions, or widespread outages of third-party infrastructure we rely on (including Firebase/Google Cloud).
